1. Agreement
These Terms are a binding agreement between you and PadPlayer ("we", "us", "our"), the operator of PadPlayer (the "Site"). By creating an account, or by using the Site in any way, you agree to these Terms. If you don't agree, don't use the Site.
We may update these Terms. When we do, we'll publish a new version number and effective date here. If a change is material, we'll ask you to accept the new version the next time you sign in. Continuing to use the Site after a change takes effect means you accept it.
2. Eligibility
You must be at least 13 years old to use the Site. If you are between 13 and 18 (or the age of majority where you live), you may only use the Site with the permission and supervision of a parent or legal guardian, and that adult agrees to these Terms on your behalf.
You may not use the Site if you are barred from doing so under the laws of your country or state of residence.
One account per person. Don't create accounts for other people, and don't let anyone else use yours.
3. Your account
You're responsible for keeping your password secret and for everything that happens under your account. Tell us at admin@padplayer.com immediately if you think someone else has access to it.
Pick a username that isn't offensive, doesn't impersonate someone else, and doesn't infringe anyone's trademark. We can rename or remove usernames that violate this.
You can close your account at any time by emailing us. We can suspend or close your account if you violate these Terms, if we're required to by law, or if we shut down the Site.
4. Doodles and virtual items
Doodles have no monetary value. They are a scorekeeping device that exists only inside the Site. Read the full Doodles Disclaimer — it's short and it matters.
Specifically, you agree that:
- Doodles are licensed to you, not sold. You don't own them.
- They cannot be redeemed for cash, goods, services, or anything else of value.
- They cannot be sold, traded, gifted, or transferred to another person, whether on the Site or off it. Attempting to do so is a violation of these Terms.
- We can adjust, reset, or remove Doodles balances at our discretion — for example to correct a bug, reverse cheating, or rebalance the game economy.
- If your account is closed, or the Site shuts down, any Doodles balance is forfeited and we owe you nothing.
Some games on the Site use Doodles for entry fees or wagers. This is a game mechanic, not gambling — no real money is at stake, no real money can be won, and no purchase is required to obtain Doodles.
5. Acceptable use
Don't do any of these things:
- Cheat, exploit bugs, or use automated tools (bots, scripts, macros) to play games or accumulate Doodles.
- Reverse-engineer, tamper with, or interfere with the Site's code, servers, or security. Reporting a security issue responsibly to admin@padplayer.com is welcome and won't get you in trouble.
- Harass, threaten, impersonate, or abuse other users.
- Upload or transmit anything unlawful, infringing, or malicious.
- Scrape, mirror, or bulk-download Site content.
- Attempt to access accounts, data, or areas of the Site you aren't authorized to access.
- Use the Site for any commercial purpose without our written permission.
If we believe you've done any of these, we may suspend or terminate your account, reverse affected Doodles transactions, and remove scores from leaderboards — without notice, and at our sole discretion.
6. Content and intellectual property
The Site, its games, artwork, code, and branding are owned by PadPlayer or its licensors, and are protected by copyright and other laws. These Terms don't grant you any ownership of them. You get a limited, revocable, non-exclusive, non-transferable license to use the Site for personal, non-commercial entertainment.
Anything you submit to the Site (a username, a score, feedback) — you grant us a worldwide, royalty-free license to use, display, and store it for the purpose of operating the Site. You keep whatever rights you had in it.
7. Availability, changes, and shutdown
We provide the Site on a best-effort basis. We don't promise it will be available, uninterrupted, error-free, or that scores and balances will never be lost.
We may change, suspend, or discontinue any part of the Site — including individual games, the Doodles economy, or the entire Site — at any time, with or without notice. If we shut down the Site permanently, we'll try to give reasonable advance notice, but we're not obligated to, and you're not entitled to compensation.
8. Disclaimer of warranties
THE SITE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE SECURE, ERROR-FREE, OR CONTINUOUSLY AVAILABLE, OR THAT DEFECTS WILL BE CORRECTED.
9. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, PADPLAYER AND ITS OPERATORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR DOODLES BALANCES, ARISING FROM OR RELATING TO YOUR USE OF THE SITE, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS RELATING TO THE SITE SHALL NOT EXCEED ONE HUNDRED US DOLLARS ($100.00).
Some jurisdictions don't allow certain limitations of liability, so parts of the above may not apply to you. In that case, our liability is limited to the greatest extent permitted by law.
10. Indemnification
You agree to indemnify, defend, and hold harmless PadPlayer, its operators, contractors, and licensors from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or connected with: (a) your use of the Site; (b) your violation of these Terms; (c) your violation of any law or the rights of a third party; or (d) content you submit to the Site.
11. Governing law and dispute resolution
These Terms are governed by the laws of the State of Texas, USA, without regard to its conflict-of-laws rules.
Informal resolution first. If you have a dispute with us, email admin@padplayer.com first and give us 30 days to try to resolve it. Most problems can be sorted out this way.
Arbitration. If we can't resolve it informally, you and we agree that any dispute arising out of or relating to these Terms or the Site will be resolved by binding individual arbitration administered under the rules of a recognized arbitration body, seated in State of Texas, USA, rather than in court. The arbitrator's decision is final and may be entered as a judgment in any court of competent jurisdiction.
No class actions. You and we agree to bring claims only in an individual capacity, and not as a plaintiff or class member in any class, collective, or representative proceeding.
Exceptions. Either party may bring a claim in small claims court, and either party may seek injunctive relief in court to protect intellectual property or Site security.
12. General
If any provision of these Terms is found unenforceable, the rest stays in effect. Our failure to enforce a provision isn't a waiver of it. You may not assign these Terms; we may assign them to a successor. These Terms, together with the Privacy Policy and the Doodles Disclaimer, are the entire agreement between you and us regarding the Site.
